Dividend PolicyThe Company has a policy to pay dividends to shareholders of no less than 30% of the net profit from the separate financial statements, after the deduction of corporate income tax and all types of reserves as required by law and the Company`s regulations. This also includes reserving additional excess cash from business operations to ensure that the Company maintains sufficient total assets, thereby preventing it from being classified as an investment company according to the regulations of the Securities and Exchange Commission (SEC) and other relevant authorities. However, such dividend payments may be subject to change, depending on the Company`s performance, financial liquidity, the need for working capital to manage the business, and future expansion plans of the Company and its subsidiaries, as deemed appropriate by the Board of Directors. Annual dividend payments must be approved by the shareholders` meeting, except for interim dividends, which the Board of Directors may occasionally approve if it is determined that the Company has sufficient profits to do so without affecting the Company`s operations. The interim dividend payments must be reported to the shareholders at the next meeting. According to Section 115 of the Public Limited Companies Act B.E. 2535 (1992) (including any amendments), dividend payments from any source other than profits are prohibited. Therefore, if the Company has accumulated losses, it is prohibited from paying dividends
