Description
QHHRREIT was converted from Quality Houses Hotel and Residence Freehold and Leasehold Property Fund (“QHHR” or “the Fund”). QHHR was converted to QHHRREIT and the assets and obligations of QHHR were transferred to QHHRREIT on 24 May 2024, as well as the completion of the additional investment in the Centre Point Silom Project on 7 June 2024. Mainly generating income from rental and service fees derived from leasing hotel and residence properties of the REIT, comprising four projects as follows (1) Centre Point Plus Pratunam ,(2) Centre Point Sukhumvit 10, (3) Centre Point Chidlom, (4) Centre Point Plus Silom.

Dividend PolicyThe REIT Manager will pay distributions to the trust unitholders of no less than 90 percent of the adjusted net profit of the fiscal year. The distribution shall be paid to the trust unitholders not less than 2 times per year, in which the REIT Manager is entitled to considering to pay special distributions in addition to twice-a-year- distribution to the trust unitholders if it is deemed necessary and appropriate and will distribute within 90 days from the last day of the fiscal year or the accounting period in which the distribution is paid (whichever the case maybe). In the case where the trust is unable to pay distributions to trust unitholders in accordance with the criteria specified in paragraph one, The REIT manager and the Trustee must clarify the reasons for necessity to the SEC Office as well as show information that prevents the distribution according to the specified criteria and/or the REIT may take additional actions as may be prescribed by law in the future. In considering the distribution payment to trust unitholders, the REIT manager must consider the necessity of maintaining the REIT`s cash appropriately in accordance with the guidelines set by the SEC Office. In the case that the trust has accumulated profits in any accounting period, the REIT manager may also pay distributions to trust unitholders from such retained profits.
